These Website Terms of Use ("Terms") govern access to and use of the InnovoCars website, mobile applications, digital platforms, and all related online services (the "Platform"), operated by InnovoCars Limited ("InnovoCars", "the Company", "we", "our", "us"). By accessing, browsing, registering, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.

InnovoCars Limited operates an electric and hybrid mobility ecosystem comprising vehicle sales, vehicle reservations, charging services, fleet management solutions, marketplace services, financing partnerships, after-sales support, and related digital services, based in and primarily serving the Republic of Ghana.

To use the Platform, you must:

• Be at least 18 years of age;

• Possess legal capacity to enter binding contracts;

• Provide accurate, current registration and identification information;

• Comply with all applicable laws of Ghana; and

• Agree to be bound by these Terms.

InnovoCars reserves the right to refuse or restrict access to any person at its sole discretion, including where required for fraud prevention or regulatory compliance.

Certain services require registration. Users agree to provide truthful information, maintain accurate records, protect their login credentials, notify InnovoCars immediately of any unauthorised account access, and accept responsibility for activity conducted through their account. InnovoCars may suspend or terminate accounts suspected of fraud, abuse, or breach of these Terms.

The Platform may be used only for lawful personal or authorised commercial purposes. Users shall not copy Platform content without permission; interfere with website security; upload malicious software; scrape or harvest data; impersonate another person; submit false information; engage in fraudulent activity; or infringe intellectual property rights.

InnovoCars strives to ensure the accuracy of all vehicle specifications, pricing, availability, charging ranges, battery performance, colours, images, and technical information displayed on the Platform. However, this information may change without prior notice, and Platform content does not constitute a legally binding offer unless expressly stated.

Displayed prices may exclude taxes, registration fees, insurance, financing costs, and delivery charges; final pricing is confirmed before completion of any transaction.

Vehicle reservations are subject to availability, identity verification, applicable reservation fees, payment confirmation, and execution of the relevant sale agreement. A reservation does not, by itself, transfer ownership.

Unless otherwise stated, all Platform content — including logos, trademarks, graphics, software, vehicle photographs, videos, documents, articles, designs, databases, and website layouts — remains the exclusive property of InnovoCars Limited. No licence is granted except for personal, lawful use of the Platform.

The Platform may integrate services provided by payment processors, logistics providers, insurance partners, financing institutions, mapping providers, and charging network operators. InnovoCars is not responsible for services independently provided by such third parties, though InnovoCars will take reasonable care in selecting reputable partners.

Users submitting reviews, comments, or other content grant InnovoCars a worldwide, royalty-free licence to display, reproduce, and distribute that content in connection with the Platform. Users warrant that submitted content is lawful, original, non-infringing, non-defamatory, and not misleading.

The following activities are strictly prohibited:

• Hacking or attempting to breach Platform security;

• Reverse engineering Platform software;

• Distributing malware or conducting phishing;

• Abusing customer support channels;

• Manipulating vehicle listings or reviews;

• Committing or attempting payment fraud;

• Uploading unlawful material.

The Platform is provided on an "as available" and "as is" basis. InnovoCars does not warrant that the Platform will be uninterrupted, that information will always be error-free, or that software will be free of defects.

To the maximum extent permitted by law, InnovoCars shall not be liable for indirect losses, consequential damages, loss of profits, loss of business, interruption of operations, data loss, or cyber incidents beyond its reasonable control. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.

Users agree to indemnify InnovoCars against losses arising from their breach of these Terms, unlawful conduct, infringement of intellectual property rights, fraudulent activity, or misuse of the Platform.

These Terms are governed by the laws of the Republic of Ghana, without prejudice to any mandatory consumer protection laws that may apply. InnovoCars may revise these Terms at any time; updated versions become effective upon publication on the Platform, and continued use constitutes acceptance.
